Terms & Conditions
Platform terms for LimOperations customers and authorized users.
Last updated
October 18, 2026
These Terms govern access to the LimOperations platform and are designed to set clear expectations for subscription use, operational responsibility, customer data handling, platform safeguards, and liability allocation.
Please read these Terms together with the Privacy Policy and any applicable order or separately executed agreement. Questions and legal notices may be sent to contact@limoperations.com.
Key protections
- Customer Data remains subject to defined confidentiality, access and privacy protections, and is never sold or made available to a business's competitors.
- Your company is responsible for every user under its account.
- Dispatch, pricing, fleet, employment, and legal compliance decisions remain yours.
- The platform may suspend misuse, overdue accounts, or security threats.
- Commercial liability and indemnities are allocated subject to mandatory legal protections.
1. Scope and acceptance
These Terms & Conditions (Terms) govern access to the LimOperations websites, applications, portals, APIs and related software services (Service) supplied by Solutions LimOperations Inc., a company registered in Canada (LimOperations, we, us or our). Customer means the business subscribing to or using the Service; Authorized User means a person whom the Customer permits to access its workspace. Customer Data means information or content submitted to the Service by or on behalf of a Customer or user.
By accepting these Terms or using the Service after being given an opportunity to review them, you agree to the provisions applicable to your use. A person accepting on behalf of a Customer represents that they have authority to bind that Customer. Individual users are bound by the account-security and acceptable-use provisions applicable to them; they do not personally assume a business subscription or indemnity merely by using an employee or passenger account.
A separately executed agreement prevails over these Terms to the extent of an express conflict. A commercial order governs its agreed pricing, term and service scope. The Privacy Policy governs our handling of personal information. Nothing in these Terms overrides mandatory law or authorizes a use of personal information inconsistent with an applicable notice, consent or data-processing agreement.
2. Eligibility and permitted use
The Service is intended for legitimate transportation, chauffeur, limousine, black-car, shuttle, and related mobility operations. You may use the Service only for lawful business purposes and only in accordance with these Terms.
You are responsible for ensuring that your use of the Service, your booking practices, and your communications with passengers, drivers, affiliates, and clients comply with all laws, regulations, licensing requirements, consumer protection rules, privacy obligations, employment requirements, tax obligations, and transportation rules that apply to your business.
3. Accounts, administrators, and security
Your company is responsible for all activity that occurs under its account, including actions taken by owners, dispatchers, drivers, client users, subcontractors, and anyone else granted access through your organization.
You must maintain accurate account information, use strong credentials, protect authentication secrets, restrict access to authorized personnel, and promptly disable access for users who no longer require it.
Account owners and administrators are responsible for setting permissions appropriately and for reviewing user access, booking data, rates, invoices, notes, uploaded content, and integrations for accuracy and security.
You must notify LimOperations without unreasonable delay if you become aware of unauthorized access, credential compromise, suspicious activity, data misuse, or any vulnerability affecting your account or your use of the Service.
4. Customer data and platform rights
As between the parties, the Customer retains its rights in Customer Data. Ownership language does not displace the rights of individuals in their personal information or the rights of third-party owners.
The Customer grants LimOperations a non-exclusive license to host, copy, transmit, format, back up, process and display Customer Data to the extent necessary to provide, maintain, secure and support the Service, carry out lawful Customer instructions and meet applicable legal obligations. Service providers may exercise these rights only to perform services on our behalf, subject to appropriate obligations. This license does not authorize independent advertising uses or the sale of Customer Data.
The Customer is responsible for the accuracy, lawful source and appropriateness of the information it submits and for obtaining the rights, notices and consents required for its instructions. LimOperations remains responsible for obligations imposed on it by law; this allocation does not transfer those obligations to the Customer.
We may use aggregated or de-identified operational information for service analytics, reliability, security and product improvement. Information that can reasonably identify an individual remains subject to the Privacy Policy. We do not use this provision to re-identify individuals or disclose a Customer’s confidential business records.
5. Operational responsibility and dispatch decisions
LimOperations provides software tools to help manage reservations, dispatch, assignments, availability, reporting, communications, and related workflows. LimOperations does not operate transportation services, employ your drivers, control your fleet, or direct real-world trip performance.
Your company remains solely responsible for pricing, quotes, confirmations, driver assignments, licensing, insurance, vehicle safety, maintenance, legal compliance, passenger communications, wait time policies, cancellation policies, service delivery, and all transportation decisions made using the Service.
Any scheduling suggestions, status indicators, assignment aids, reports, AI-assisted extraction, route links, map data, or system-generated values are informational tools only. Your personnel must independently review them before operational reliance. The Service does not provide transportation, legal, tax, insurance, safety, employment, or regulatory advice.
5A. Driver location sharing
The Service lets drivers share their location with the business they work for. As between you and LimOperations, you are responsible for (a) telling each driver, before they are tracked, what is collected, why, who can see it, and for how long; (b) having a lawful basis and any consent required by the laws that apply to you and to them; (c) using location information only for legitimate business purposes and during working time; (d) limiting access to the people who need it; and (e) not using the feature for covert tracking, harassment, or discrimination.
Drivers can switch location sharing off at any time, and we may make that control, together with the device’s own location permission, the only way a driver’s location is shared. We process location information on your instructions as described in our Privacy Policy.
Location information depends on the driver’s device, signal, and settings, and can be late, inaccurate, or missing. It is provided for convenience and must not be relied on for emergency response, safety-critical decisions, or legal evidence.
Submitting a daily report does not switch off location sharing. Drivers must use the sharing control when they wish to end sharing. Businesses must not assume that a report, an ended booking, a stale position or an inferred garage status establishes a driver’s actual location or consent to further monitoring.
6. Acceptable use restrictions
You may not misuse the Service, interfere with its normal operation, or access it in a way that could harm the platform, other customers, or any user.
Without limitation, you may not: reverse engineer the Service except where prohibited by law; probe, scan, or test security without authorization; scrape or harvest data from accounts you are not permitted to access; upload malicious code; impersonate another person or company; use the Service to transmit unlawful, defamatory, fraudulent, infringing, or abusive content; bypass account or usage restrictions; resell or sublicense the Service except as expressly authorized in writing; or use the Service to build a competing product using non-public aspects of the platform.
We may investigate suspected misuse and may suspend or restrict access when necessary to protect the Service, customers, or third parties.
You must not use driver location information for any purpose other than the legitimate operation of your transportation business.
7. Subscription, fees, and billing
Applicable plans, recurring charges, usage charges, billing currency, taxes, renewal intervals and any trial conditions are those disclosed when the Customer subscribes or authorizes a purchase. The Customer must maintain accurate billing information and authorizes charges for the subscription and usage it selects. Taxes and third-party bank or currency-conversion charges are additional unless expressly included.
Subscriptions renew on the disclosed billing cycle until cancelled in accordance with the applicable subscription controls or written agreement. Upgrades, downgrades, cancellation dates and any proration are governed by the terms displayed when the change is made. Disabling an integration, signing out or ceasing to use the Service does not by itself cancel a subscription.
Message credits and other metered services are subject to the price and charging conditions disclosed for the relevant feature. Carrier or provider delivery is not guaranteed. Any optional automatic top-up requires the Customer’s authorization. Refunds, credits and unused balances are governed by the disclosed purchase terms and mandatory law; nothing here removes a statutory refund right.
We may restrict paid functionality for overdue undisputed charges after reasonable notice, or immediately where fraud or a material security risk requires it. Please report a billing discrepancy promptly to contact@limoperations.com. A billing dispute does not remove applicable privacy rights or make payment a condition of exercising a legally required deletion right.
LimOperations charges for software and related platform services. It does not receive or settle passenger fares on behalf of transportation businesses. The transportation business is responsible for its passenger contracts, taxes, payment links, refunds and payment disputes.
8. Third-party services and integrations
The Service uses or links to hosting, communications, payment, mapping, flight-information, app-store and other third-party services. An integration selected by the Customer may transmit information to the selected provider or recipient. The Customer must review the relevant terms and ensure its instructions and disclosures are lawful.
Availability, delivery, accuracy and compatibility of independent third-party services are outside our complete control. We do not warrant their uninterrupted operation or endorse third-party content merely by linking to it. Subject to mandatory law, we are not responsible for failures attributable to those independent services; this provision does not exclude our responsibility for our own conduct or duties concerning service providers processing information on our behalf.
Map routes, flight updates, currency conversions and AI-assisted extraction may be incomplete, delayed or incorrect. Users must verify material information before confirming a booking, dispatching a driver or relying on a financial record. Messaging features do not guarantee receipt, delivery time or compliance with the Customer’s own communications obligations.
9. Availability, changes, and support
LimOperations may modify, update, enhance, reconfigure, or discontinue features from time to time. We may also release patches, maintenance updates, interface changes, security fixes, and workflow adjustments without prior notice where reasonably necessary.
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation, specific uptime levels, permanent feature availability, or compatibility with every device, browser, operating system, carrier, or third-party environment.
Scheduled maintenance, emergency fixes, high-risk activity, capacity constraints, third-party failures, internet disruptions, force majeure events, and customer-side configuration issues may affect performance or availability.
Unless expressly agreed in a signed service-level agreement, support response times and service-level credits are not guaranteed. We will give reasonable notice of a material discontinuation where practicable, subject to urgent legal or security requirements and applicable contractual or statutory remedies. Customers must maintain contingency arrangements for dispatch and other essential operations.
10. Suspension and termination
We may suspend or restrict access to the extent reasonably necessary to address a material breach, unlawful activity, non-payment, fraud, security threat, or risk of harm to the Service or others. Where practicable and lawful, we will provide notice and an opportunity to remedy the issue. Immediate action may be taken where delay would increase the risk or violate law.
The Customer may cancel in accordance with its subscription terms. We may terminate for a material breach not remedied within a reasonable period specified in a notice, or immediately for a serious breach that cannot reasonably be remedied. Accrued payment obligations and provisions intended to survive termination remain effective.
Following termination, access may cease. Where reasonably practicable and legally permitted, we will provide an opportunity to request an export of Customer Data before routine deletion. Customers should maintain copies of records needed for their own operations and legal obligations. Retention and deletion remain governed by the Privacy Policy, applicable law and any executed data-processing agreement.
11. Confidentiality
Each party shall protect the other’s non-public business, technical, financial and security information with reasonable care and at least the care it uses for its own information of a similar nature. The receiving party may use such information only to perform or enforce the agreement or as otherwise lawfully authorized.
Disclosure is limited to personnel, professional advisers and service providers with a need to know and appropriate confidentiality obligations, to recipients authorized through the Service, or as permitted or required by law. The receiving party remains responsible for obligations applicable to its own disclosures.
These obligations do not apply to information demonstrably public without breach, lawfully known without restriction, independently developed without use of confidential information, or lawfully received from another source. These exceptions do not displace protections applicable to personal information.
For a compelled disclosure, the receiving party shall, where legally permitted and reasonably practicable, notify the disclosing party and limit disclosure to what is legally required. Confidentiality obligations survive termination for as long as the information remains confidential; personal information remains subject to applicable privacy requirements.
12. Intellectual property
LimOperations and its licensors retain all right, title, and interest in the Service, including all software, interfaces, workflows, designs, databases, documentation, trademarks, service marks, logos, and related intellectual property, except for your data and any rights expressly granted to you.
No implied license is granted. Except as expressly permitted in these Terms, you may not copy, modify, distribute, create derivative works from, publicly display, lease, sell, assign, or exploit the Service or any portion of it.
You grant LimOperations a non-exclusive, worldwide, royalty-free right to use voluntary feedback and suggestions to develop and improve the Service, without an obligation to pay compensation. This permission does not include a license to disclose Customer Data, personal information or another party’s confidential information included in that feedback.
13. Disclaimers
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. LimOperations disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.
We do not warrant that the Service will meet every business requirement, prevent all fraud, eliminate chargebacks, guarantee dispatch outcomes, produce legally sufficient records, preserve data indefinitely, or operate without interruption, latency, defect, or incompatibility.
We do not guarantee the availability or accuracy of location information.
14. Limitation of liability
Subject to the mandatory-law exceptions below, LimOperations is not liable for indirect, consequential, special, exemplary or punitive damages, or for lost profits, revenue, anticipated savings, goodwill or business opportunities arising from the Service. This exclusion applies only to the extent permitted by applicable law.
Subject to those same exceptions and any separately executed agreement, LimOperations’ aggregate liability arising out of or relating to the Service or these Terms shall not exceed the fees paid or payable by the Customer for the Service during the twelve months preceding the event giving rise to the claim. Related claims arising from the same events are subject to a single aggregate limit.
No exclusion or limit applies to liability that cannot lawfully be excluded or limited, including liability for intentional or gross fault or for bodily or moral injury where the applicable law prohibits such a limitation. Nothing waives mandatory consumer rights, statutory privacy rights, or remedies that applicable law makes non-waivable.
The permitted exclusions and limits apply regardless of the legal basis of a claim. They allocate commercial risk in light of the fees charged and do not relieve either party of obligations that mandatory law imposes independently of this agreement.
15. Indemnification
To the extent permitted by law, the Customer shall defend and indemnify LimOperations and its officers, directors and personnel against third-party claims, resulting damages and reasonable defense costs arising from the Customer’s unlawful instructions or content, infringement of third-party rights by Customer Data, material breach of these Terms, or transportation and employment operations for which the Customer is responsible.
This obligation does not apply to the extent a claim results from LimOperations’ own breach of its obligations, fault or unlawful conduct. It does not apply to an individual merely because that person uses an employee, driver or passenger account.
LimOperations shall provide reasonably prompt notice of a claim and reasonable cooperation at the Customer’s expense. A delay in notice reduces the obligation only to the extent of actual prejudice. The Customer may control the defense through competent counsel reasonably acceptable to LimOperations, subject to conflict-of-interest and urgent protective measures. No settlement may admit fault by, impose non-monetary obligations on, or fail to release LimOperations without its written consent, not to be unreasonably withheld.
16. Force majeure
LimOperations will not be responsible for any delay, interruption, or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, labour disputes, war, terrorism, civil disturbance, governmental action, utility or telecommunications failure, internet disruption, cyberattack, third-party service failure, or supplier failure.
17. Legal compliance and export controls
You may not use the Service in violation of applicable export control laws, sanctions laws, anti-corruption laws, anti-money laundering laws, privacy laws, or other legal restrictions applicable to your jurisdiction, your customers, or your operations.
You are responsible for determining whether the Service is appropriate for your regulatory environment and for implementing any additional contracts, disclosures, rider-facing terms, privacy notices, or consent flows your business requires.
18. Changes to these Terms
We may amend these Terms to reflect changes in the Service, commercial arrangements or applicable law. We will give reasonable advance notice of material changes through the Service, email or another appropriate channel, identifying when they take effect. Changes required urgently for legal or security reasons may take effect sooner, with notice as soon as reasonably practicable.
Revised Terms operate prospectively and do not retrospectively extinguish accrued rights. Where law requires express acceptance, we will obtain it. Otherwise, continued use after proper notice and the effective date constitutes acceptance to the extent permitted by law. A Customer that does not agree may cancel in accordance with its applicable subscription terms and mandatory rights.
Acceptance of revised Terms is not consent to a new purpose for processing personal information. Changes to privacy practices are subject to the notice and consent requirements stated in the Privacy Policy and applicable law.
19. General terms
These Terms, together with any order form or written commercial agreement that references them, form the entire agreement between the parties regarding the Service and supersede prior or contemporaneous understandings on that subject.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure to enforce any provision is not a waiver.
You may not assign or transfer these Terms without prior written consent from LimOperations. LimOperations may assign these Terms in connection with a reorganization, financing, merger, sale of assets, or change of control.
Except for the LimOperations parties protected by the indemnity and limitation-of-liability provisions, these Terms do not create rights for any third party. Sections concerning fees, data rights, restrictions, disclaimers, liability, indemnity, confidentiality, intellectual property, and general terms survive termination to the extent necessary to give them effect.
Neither party acts as the other’s agent, employer, partner or joint venturer merely by using the Service. Before commencing a commercial claim, the parties should attempt in good faith to resolve it through their designated contacts, without restricting urgent relief, statutory complaint procedures, mandatory limitation periods or non-waivable rights. No exclusive court, arbitration requirement or waiver of collective remedies is imposed by this clause.
